Terms & Conditions

These Terms & Conditions govern the relationship between Maven Drift and anyone who engages our advisory services or uses our website. By submitting an enquiry, entering into an engagement agreement, or using this website, you indicate that you have read and understood these terms.
1. Definitions
In these Terms & Conditions:
- "Maven Drift", "we", "us", "our" refers to the advisory practice operating under that name at 168 Ratchadaphisek Road, Din Daeng, Bangkok 10400, Thailand.
- "Client", "you", "your" refers to the organisation or individual who engages our services.
- "Services" refers to any change management advisory work we provide, including the Change Readiness Session, Change Support Programme, and Change Advisory Engagement.
- "Engagement" refers to a specific contracted piece of work with a defined scope, fee, and set of deliverables.
- "Website" refers to our website at mavendriftx.info.
- "Deliverables" refers to written documents, templates, plans, or summaries produced as part of an engagement.
2. Acceptance of Terms
By requesting a consultation, signing an engagement agreement, or making payment for a service, you confirm that:
- You are aged 18 or over and have the authority to enter into an agreement on behalf of your organisation.
- You have read and agree to these Terms & Conditions.
- You understand the nature of the advisory services being provided.
3. Description of Services
Maven Drift provides change management advisory services to organisations in Thailand and, where agreed, remotely to clients elsewhere. Our three service types are:
- Change Readiness Session (฿4,000): A facilitated assessment of organisational readiness for an upcoming change, including a written readiness summary and support priority list.
- Change Support Programme (฿20,500): A structured engagement to plan and guide a specific change, including a change plan, communication templates, and regular check-in sessions.
- Change Advisory Engagement (฿34,500): An ongoing advisory relationship providing senior leaders with regular sessions, written follow-up, and practical guidance through an extended period of transition.
The precise scope, deliverables, and timeline for each engagement are confirmed in writing before work begins.
4. Engagement Agreement
No engagement begins until a written scope agreement has been confirmed by both parties. This agreement will specify:
- The service type and fee
- The specific deliverables included
- The expected timeline and key milestones
- Confidentiality obligations on both sides
Any change to the scope of an engagement requires written agreement from both parties before additional work begins. We will not expand scope without your explicit approval.
5. Fees and Payment
All fees are quoted and invoiced in Thai Baht (฿). Our published prices are fixed for each service type. Additional work outside the agreed scope will be quoted separately.
- Payment terms are specified in the engagement agreement (typically 50% on commencement and 50% on completion).
- Invoices are payable within 14 calendar days of issue unless otherwise agreed in writing.
- We reserve the right to pause work on an engagement where an invoice is materially overdue.
6. Cancellation and Refunds
- Cancellation before work begins: any advance payment will be refunded in full.
- Cancellation after work has begun: a proportional fee will be retained for work completed to the point of cancellation, calculated fairly and agreed with you.
- We are not able to offer refunds for completed deliverables that have been delivered and accepted.
- If we are unable to fulfil an engagement for reasons on our side, we will refund all payments made for undelivered work.
7. Confidentiality
We treat all client information with strict confidentiality. Unless agreed in writing:
- We will not disclose client information to any third party.
- We will not use client names or details in any public materials without your written consent.
- All advisors and contractors working on your engagement are bound by confidentiality obligations.
We ask clients to extend the same confidentiality to our proprietary frameworks, tools, and methods, including the Phase Ladder and Readiness Checklist.
8. Intellectual Property
Deliverables produced specifically for your engagement (such as change plans, communication templates, and written summaries) become your property upon full payment.
Our proprietary frameworks, methodologies, and general materials remain the intellectual property of Maven Drift. You may use them within your organisation but may not reproduce, redistribute, or commercialise them without our written consent.
9. Nature of Advisory Services
Our services are advisory in nature. We provide information, structured processes, and practical guidance to support your organisation's decision-making. We do not make decisions on your behalf, and we are not responsible for outcomes that result from decisions made by your leadership team during or after an engagement.
Our advisory work does not constitute legal, financial, medical, or regulatory advice. Where specialist professional advice is needed, we will say so and recommend that you seek it independently.
10. Limitation of Liability
To the fullest extent permitted by Thai law:
- Our liability to you in connection with any engagement is limited to the total fees paid for that engagement.
- We are not liable for indirect, consequential, or incidental losses, including lost revenue, reputational damage, or staff disruption.
- We are not liable for outcomes arising from decisions made by your organisation during or after our involvement.
Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence.
11. Force Majeure
Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government action, or significant public health events. Both parties will act in good faith to reschedule or adapt the engagement in such circumstances.
12. Termination
Either party may terminate an engagement by giving written notice. Where you terminate an ongoing engagement:
- You remain liable for fees for work completed to the date of notice.
- We will deliver any completed deliverables to you within 5 working days.
We may terminate an engagement if payment obligations are materially breached or if the working relationship becomes untenable. In such cases, fees for completed work remain due.
13. Governing Law and Disputes
These Terms are governed by the laws of Thailand. Any dispute arising from an engagement will be subject to the jurisdiction of the Thai courts.
Before initiating formal proceedings, both parties agree to make reasonable efforts to resolve disputes informally. In most cases, a direct conversation is the most effective and efficient path to resolution.
14. General
- Entire agreement: These Terms, together with any signed engagement agreement, constitute the entire agreement between the parties regarding the relevant engagement.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- No waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in future.
- Assignment: You may not assign your rights or obligations under an engagement agreement without our written consent.
15. Changes to These Terms
We may update these Terms from time to time. The version applicable to a specific engagement is the version in effect at the time the engagement agreement is signed. We will post any updated Terms on our website with a revised "Last Updated" date.
